本講座を担当する平野晋先生が、英文契約の〈不可抗力条項〉を例にしながら、〈文法上の多義性〉（ambiguity in syntax）と呼ばれる問題について解説します。
〈文法上の多義性〉の 問題は、下手な契約書の文章が、読者に複数の異なる解釈を許してしまう問題です。そのような悪文は、争訟・裁判の原因になるので、アメリカの英文契約ドラフティング分野において、最も注意しなければならない問題と言われております。

以下の例文内３行目下線部の「reasonably beyond its control」は、その後の「or」以降「fire, explosion, . . .」という個別具体的な偶発事象を修飾しないことが文法上明らかなので、たとえ「合理的な管理能力を超え」ていない「爆発」であっても、売主又は買主を義務から免除されるという裁判例(*注)があります。

Either Seller or Buyer will be excused from the obligations of this Contract to the extent that performance is delayed or prevented by any circumstances reasonably beyond its control or by fire, explosion, mechanical breakdown, strikes or other labor trouble, plant shutdown, unavailability of raw materials or unavailability of or interference with the usual means of transporting the Product or compliance with any law, regulation, order, recommendation, or request of any governmental authority.
そこで、爆発等の具体的に列挙されたいずれの偶発事象も「合理的な管理能力を超え」ていなければ、売主又は買主が義務から免除されないような文章に修正するためには、どのような修文にすれば良いでしょうか？

Either Seller or Buyer will be excused from the obligations of this Contract to the extent that performance is delayed or prevented by any circumstances reasonably beyond its control, including, but not limited to, fire, explosion, mechanical breakdown, strikes or other labor trouble, plant shutdown, unavailability of raw materials or unavailability of or interference with the usual means of transporting the Product or compliance with any law, regulation, order, recommendation, or request of any governmental authority, to the extent that any of these enumerated events is also reasonably beyond its control.
